1. Definitions

• ThemePeaks — The brand and service operated by Beyondsy Solutions LLP.
• Client / You — The individual or business purchasing products or services from ThemePeaks.
• Services — Theme integration, installation, setup, customization, hosting, support, and maintenance.
• Deliverables — Integrated themes, custom code, templates, configuration files, and related outputs delivered to the Client.

2. Scope of Services

We provide theme Integration, Installation & Setup, Customization Services, Support & Maintenance, and optional Hosting Services.
Third-party theme/plugin licenses remain the Client’s responsibility unless explicitly mentioned otherwise

3. Pricing & Payments

Prices listed on the website or in quotations are indicative and may vary depending on requirements. Full payment is required before project commencement unless agreed otherwise in writing. Payment methods may vary as per region or Client preference.

4. Project Timelines

Estimated timelines depend on requirement clarity, Client responsiveness, technical complexity, hosting environment, and third-party factors. Any delay in providing required information or access will proportionally extend delivery timelines.

5. Client Responsibilities

Clients must provide accurate credentials, valid third-party licenses, timely feedback, and any assets required for the project. Missing or incorrect information may cause delays.

6. Refund & Cancellation

Refunds are available only if theme integration fails despite complete cooperation from the Client. See our Refund Policy for full details.

7. Intellectual Property

• All custom code created by ThemePeaks remains the intellectual property of ThemePeaks unless explicitly transferred through a written agreement.
• Client-provided content and assets remain the Client’s property.
• Third-party themes, plugins, and licenses remain with the respective owners.

7.1 Basic Plan – Code Ownership

For the Basic Plan, only the final integrated output is provided.
Source code, custom modules, or backend logic are NOT included.
If the Client requires source code, it will be provided at an additional mutually agreed cost, documented separately.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited strictly to the amount paid for the specific service.
• We are not responsible for issues caused by server failure, malware, hosting misconfiguration, plugin/theme conflicts, or Client-side modifications.

9. Termination

We reserve the right to suspend or terminate services, hosting, support, or ongoing access without liability under any of the following conditions:

9.1 Grounds for Immediate Termination

• Non-payment or repeated payment failures
• Abuse, harassment, threats, or offensive behaviour toward our team
• Providing unlawful, misleading, or harmful content
• Violation of licensing terms or unauthorized redistribution of our code
• Attempting to access or modify server files, databases, or systems without permission
• Security breach, hacking attempts, or malware injection originating from your account
• Hosting usage exceeding allowed resource limits and refusal to upgrade

9.2 Termination for Contract Breach

• Terminate the hosting or associated services
• Suspend access to any deliverables
• Withhold release of files or credentials until dues are cleared
• Charge recovery cost for damage or additional work caused by the breach
• Notify you in writing before final termination (except in severe/illegal cases)

9.3 Client-Initiated Termination

• No refunds will be issued for completed work or ongoing subscription cycles
• Access to hosting, code, support, or tools will be discontinued at the end of the cycle

10. Hosting & Security (If Hosting is Provided)

• Hosting is provided on a shared, VPS, or cloud environment depending on the chosen plan.
• ThemePeaks is not liable for downtime caused by data center issues, third-party services, or force majeure events.
• Security hardening is provided only as per plan.
• Any malware, spam, or abusive traffic originating from your website may result in immediate suspension.

11. Data Backup

• Basic plans include limited periodic backups.
• Clients are responsible for maintaining their own offline backups.
• Restore requests may incur additional charges.

12. Governing Law

These Terms are governed by the laws of India and the courts of Ahmedabad, Gujarat have exclusive jurisdiction.
